TERMS AND CONDITIONS


1. Regulatory Compliance: All mining operations must comply with all applicable local, national, and international laws, regulations, and guidelines pertaining to the mining industry. This includes, but is not limited to, environmental, health and safety, labor, and anti-corruption laws.

2. Safety Measures: The company is obliged to ensure the safety of its employees and contractors. Adequate safety measures, personal protective equipment, and regular safety training must be provided to mitigate the risks associated with the mining activities.

3. Environmental Responsibility: The company should conduct its operations in accordance with the best practices to minimize the impact on the environment. It should take adequate measures for waste management, land rehabilitation, and to reduce emissions and conserve resources.

4. Licenses and Permits: The company must obtain and maintain all the necessary licenses, permissions, and permits required to conduct mining operations. Any breach of the terms of these permissions may result in penalties or cessation of operations.

5. Community Engagement: The company must respect the rights of local and indigenous communities. In situations where mining operations may affect these communities, the company must carry out transparent consultations and seek prior informed consent.

6. Insurance: The company shall obtain and maintain adequate insurance to cover any potential liabilities arising from its operations, including, without limitation, liabilities related to environmental damage, personal injury, property damage, and business interruptions.

7. Confidentiality: Any confidential information gained through the partnership will not be disclosed to third parties without the express written consent of the other party, except where required by law.

8. Force Majeure: The company shall not be liable for any failure to fulfill its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, strikes, or changes in legislation.

9. Dispute Resolution: Any disputes arising from these terms and conditions will be resolved through mediation or arbitration in a jurisdiction agreed upon by both parties.
